Ayamedica’s SHMS is designed to support student well-being within educational institutions. This section outlines the critical role of Gradients (parents/guardians) in managing student health data.

Comprehensive Data Collection

Data collected includes student health records, wellness metrics, and AI-generated insights to support proactive health management.

Purposeful Data Utilization

Collected data is used exclusively for student health management, personalized wellness programs, and educational support tailored to individual needs.

Robust Security & Compliance

All student health data is protected with advanced security measures and adheres strictly to regulations such as FERPA and GDPR.

Terms Acceptance as Consent

By accepting these Terms & Conditions, Gradients (parents/guardians) give Ayamedica explicit consent for the collection and processing of their student's health data within the SHMS, including wellness metrics and AI-generated insights, for the purposes of student health management and educational support.

Acceptance & Medical Disclaimer

1. Acceptance of Terms

By accessing or using any Ayamedica service, you acknowledge that you have read, understood, and agree to be bound by these Terms

& Conditions. If you do not agree, you must not use our services.

Ayamedica provides AI-powered platforms designed to assist in health management, record keeping, and clinical decision support. Our services are for informational and administrative purposes only.

3. Medical Disclaimer

The SHMS, PHR, and EHR platforms, including any AI-generated insights, are not intended to provide medical advice, diagnosis, or treatment. They do not replace the professional judgment of healthcare providers.

AI Transparency & User Responsibilities

4. AI & Automated Decision-Making Disclosure

Our platforms utilize AI for data analysis, pattern recognition, and predictive insights. While AI enhances efficiency and accuracy, it is a tool to support human decision-making, not replace it. Users acknowledge that AI outputs are probabilistic and may contain inaccuracies.

AI models are continuously learning and evolving. Ayamedica disclaims all liability for any decisions made based solely on AI-generated outputs without independent verification by a qualified professional.

6. Data Collection & Processing

Ayamedica collects and processes personal and health data in strict compliance with GDPR and HIPAA. Data is processed only for specified purposes.

7. Cross-Border Data Transfers

Data may be transferred and stored globally, utilizing mechanisms such as Standard Contractual Clauses (SCCs) to ensure equivalent data protection standards where applicable under local law.

8. Data Security & Encryption

We implement robust technical and organizational measures, including end-to- end encryption, to protect data from unauthorized access, disclosure, alteration, and destruction.

9. HIPAA Business Associate

For US healthcare entities, Ayamedica acts as a Business Associate under HIPAA. A separate Business Associate Agreement (BAA) will govern the handling of Protected Health Information (PHI).

10. Consent to Use Health Data

Users provide explicit consent for Ayamedica to process their health data for service provision, research (anonymized), and platform improvement, in accordance with applicable privacy laws. For students using the SHMS, Gradients (parents/guardians) provide explicit consent for the collection and processing of their student's health data, including wellness metrics and AI-generated insights, for the purposes of student health management and educational support.

Intellectual Property & Licensing

11. Intellectual Property

All intellectual property rights in the Ayamedica platforms, including software, algorithms, and content, remain with Ayamedica or its licensors. Users are granted a limited, non-exclusive, non-transferable license to access and use the services.

No right to copy, modify, distribute, or create derivative works is granted without explicit written consent.

12. Software License Terms
  • License is for personal or internal business use only.
  • Prohibition of reverse engineering, decompilation, or disassembly.
  • Compliance with all applicable export and import laws.

Subscription, Liability, & Indemnification

13. Subscription & Payments

Accesstoservicesmay requirea subscription,subject tofees and payment terms. All payments are non-refundable unless otherwisespecified.

14. Limitation of Liability

Ayamedica’sliabilityfor anydamagesarisingfrom service use, including AI-generated outputs, is strictly limited to the amount paid for the service in the preceding twelve (12) months. We are not liable for indirect, incidental, or consequential damages.

15. Indemnification

Users agreetoindemnify, defend,and holdharmless Ayamedica from any claims, damages, liabilities, and expenses arising from
their misuse of the services, violation of these Terms, or infringement of third-party rights.

Specifically, Ayamedica shall not be liable for any damages or losses arising from reliance on AI- generated information without independent verification, or from the misuse of our platforms.

Service Availability & Dispute Resolution

16. Service Availability

Ayamedica strives for high availability but does not guarantee uninterrupted service. We may conduct scheduled or emergency maintenance, which may result in temporary downtime.

17. Termination

Either party may terminate this agreement with notice. Ayamedica reserves the right to suspend or terminate access for breach of these Terms, non-payment, or harmful activities.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of a neutral jurisdiction commonly chosen for international commercial contracts, without regard to its conflict of laws principles. Specific country-level privacy regulations will apply where mandated by local law (e.g., GDPR, HIPAA).

19. Dispute Resolution

Any dispute arising from these Terms shall be resolved by binding arbitration administered by the International Chamber of Commerce (ICC) or UNCITRAL, with arbitration proceedings conducted in English.

Additional Provisions & Contact

20. Children’s Data

Ayamedica services are not intended for individuals under the age of 16. We do not knowingly collect personal data from childrenwithout parental consent, in compliance with applicable laws.

21. Updates & Modifications

Ayamedica reserves the right to update or modify these Terms at any time. Users will be notified of significant changes, and continued use constitutes acceptance of the revised Terms.
